ADVERTISEMENT AGREEMENT *

I understand that PureSculpt® Beauty will allow myself to use any advertising materials needed. I understand that I am allowed to advertise through radio stations, TV commercials, trade shows etc.. No discount on products will be given for extra promotions. I also understand that if I am advertising PureSculpt it cannot be associated with any other ice products from any other company. I also understand I will not false advertise using PureSculpt Beauty's Name and products.

I understand I will be trained and certified as a PureSculpt Specialist for Pure Enterprises, LLC — also commercially known as PureSculpt® Beauty and hereby agrees to not disclose any of the Company's techniques or trades unless it is expressly written to do so by PureSculpt® Beauty. I understand I will not disclose curriculum, manuals or copyrighted PureSculpt® videos to anyone who is not directly working or has not been trained through PureSculpt® Beauty. Upon completion of one or all courses provided by PureSculpt® Beauty, I will not plagiarize, copy or reprint any copyrighted material listed from the website, videos, social media platforms or printed manuals. I also understand that if I do private trainings, that I will not use PureSculpt® Beauty manuals, materials, marketing, videos, seminars, trade secrets or any PureSculpt® Beauty related materials in the trainings. This will create a breach of contract and will result in loss of access to sites, accounts, listings, product purchase and can result in legal action. I will not claim or false advertise that I am a PureSculpt® Beauty Instructor. I will not claim or false advertise that I have the authority to provide certifications under PureSculpt® Beauty. When or if in breach of my contract, I understand I will lose the PureSculpt® Beauty Specialist Benefits, access to website, accounts and any contact web listings. OBLIGATIONS *

The obligations of the parties shall be to hold and maintain the Confidential information in the strictest of confidence at all times and to their agents, employees, representatives, affiliated, and any other individual or entity that is on a “need to know” basis. If any such Confidential information shall reach a third party, or become public, all liability will be on the party that is responsible. Neither party shall, without the written approval of the other party, publish, copy or use the Confidential information for their sole benefit. If requested, either party shall be bound to return any and all materials to the Requesting Party within 7 days.

DISCLOSURE *

Agrees not to sale, promote or distribute any ice products or similar products, which directly compete with the Company's product line while distributing with PureSculpt®.

I agrees that neither her, nor her company, nor her employees, nor her associates, will pursue any reverse engineering, any probable manufacturing of the Company/s products, any of the Company's similar product line R&D, neither will intend to license to anyone to produce - or in any like manner - any of the Company’s products. The commitments set forth herein shall automatically cease after a period of (5) years from the date of execution of this agreement. I will not disclose passwords or training videos or materials that were given to me during training to anyone else, unless given permission.

I understand that PureSculpt® offers exclusive trainings to licensed professionals and offers certification of completion through the company but does not license individuals. It is my responsibility to know state licensing laws to practice within my current scope of licensure.

I understand that in the state of Utah if you are a Master Esthetician you can apply PureSculpt® and WoodSculpt® (light pressure) for Lymphatic purposes. I understand that I cannot use deep tissue pressure while using the WoodSculpt® tools and will abide by the State’s Regulations. I understand that I require at least 200 hours of documented lymphatic drainage. I also understand that if I am a cosmetologist or esthetician, I can only do the Full Facial and the PureSculpt® Ice body.

TAXES *

Each Distributor is responsible for collecting State and/or Local Sales Taxes (when and where applicable) and paying sales taxes to the proper government authorities. Each Distributor is also responsible for paying his/her own State and/or Federal Income Tax.
